Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at pay-castle.com and any related tools, content, and services we provide (collectively, the "Service"), operated by pay-castle ("pay-castle," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. What pay-castle is — and is not

pay-castle provides a software interface that helps you initiate a purchase of digital assets through Coinbase's Onramp service. When you use the Service, the crypto you buy is delivered by Coinbase directly to a self-custodial wallet address that you provide. pay-castle is non-custodial: we do not at any time take, hold, control, or have access to your fiat currency, your crypto assets, your private keys, or your payment instruments.

pay-castle is not a bank, money services business, money transmitter, broker-dealer, exchange, custodian, payment processor, or investment adviser, and does not provide any of those services. We do not transmit money or value, do not pool or hold customer funds, and never act as an intermediary in possession of your funds. The movement of funds and assets occurs between you, your payment provider, and Coinbase.

pay-castle is an independent business. It is not Coinbase, is not owned or operated by Coinbase, and is not endorsed by or affiliated with Coinbase except through use of Coinbase's publicly available Onramp integration.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. You may only use the Service where it is lawful to do so. You represent that you are not located in, or a resident of, any jurisdiction subject to comprehensive sanctions, and that you are not on any government list of prohibited or restricted parties. Availability of purchases, payment methods, supported assets, and limits is determined by Coinbase based on your location and applicable law.

3. The Service and the role of Coinbase

When you start a purchase, pay-castle's server requests a single-use, time-limited session from Coinbase and returns a Coinbase checkout link to your browser. You complete the purchase within Coinbase's checkout. The following are performed by Coinbase, not pay-castle, and are governed by Coinbase's own agreements:

• Processing your card or Apple Pay payment;
• Any identity verification (KYC), fraud, and compliance checks;
• Selling the digital asset to you and setting the price and fees;
• Delivering the digital asset on-chain to your wallet; and
• Handling refunds, chargebacks, and payment disputes.

Your use of Coinbase's checkout is subject to Coinbase's Guest Checkout Terms of Service, User Agreement, and Privacy Policy. You must review and accept those terms before completing a purchase; the Service requires you to acknowledge them.

4. Fees

pay-castle charges you nothing and adds no markup to your purchase. Coinbase charges its own processing and network fees, which Coinbase discloses to you before you confirm. We have no control over, and receive no portion of, those fees.

5. Your wallet and your responsibility

You are solely responsible for providing a correct wallet address on the correct network and for the security of your wallet and private keys. On-chain transactions are irreversible. If you provide an incorrect, unsupported, or incompatible address, your assets may be lost permanently, and neither pay-castle nor Coinbase can recover them. Always verify your address and network before confirming. pay-castle never has custody of your keys and cannot reverse, freeze, or modify any transaction.

6. Acceptable use

You agree not to use the Service: (a) for any unlawful purpose, including money laundering, terrorist financing, fraud, or sanctions evasion; (b) to purchase on behalf of any sanctioned or prohibited person; (c) to interfere with, probe, or disrupt the Service or its security (including rate-limit evasion, scraping of credentials, or unauthorized access); (d) to misrepresent your identity or location; or (e) in violation of any applicable law or of Coinbase's terms. We may restrict or terminate access if we reasonably believe these Terms are being violated.

7. No financial advice; risk disclosure

Nothing on the Service is financial, investment, legal, accounting, or tax advice, and nothing is an offer, solicitation, or recommendation to buy or sell any asset. Digital assets are highly volatile and may lose value, including to zero. pay-castle makes no representation or guarantee of any profit, return, yield, or performance. Any software tools we offer (for example, configurable automation tooling) execute your own instructions and provide no assurance of any outcome. You are solely responsible for your decisions and should consult your own advisers.

8. Intellectual property

The Service, including its design, text, graphics, logos, and the "pay-castle" name and marks, is owned by pay-castle or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended personal purpose. Coinbase's names, logos, and marks are the property of Coinbase; we use them only to indicate the integration and do not claim them as our own.

9. Third-party links and services

The Service may link to or rely on third-party services, including Coinbase and the wallet you choose. We do not control and are not responsible for third-party services, their content, or their availability. Your use of them is at your own risk and subject to their terms.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PURCHASE INITIATED THROUGH IT WILL BE COMPLETED BY COINBASE. WE ARE NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF COINBASE, PAYMENT PROVIDERS, BLOCKCHAIN NETWORKS, OR WALLET SOFTWARE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, pay-castle AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). BECAUSE WE NEVER HOLD YOUR FUNDS OR ASSETS, WE ARE NOT LIABLE FOR PAYMENT, CUSTODY, OR DELIVERY OUTCOMES, WHICH ARE HANDLED BY COINBASE AND THE RELEVANT NETWORKS.

12. Indemnification

You agree to indemnify and hold harmless pay-castle from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

13. Changes to the Service and these Terms

We may modify or discontinue the Service, and may update these Terms, at any time. Material changes will be reflected by updating the "Last updated" date above. Your continued use after changes take effect constitutes acceptance of the revised Terms.

14. Governing law and disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws rules, except where applicable consumer-protection law requires otherwise. Any dispute will be resolved on an individual basis in the state or federal courts located in Delaware, and you consent to their jurisdiction. Nothing in these Terms limits any non-waivable statutory rights you may have.
